1. Who these terms apply to

These Terms and Conditions ("Terms") govern every purchase of products and services from BFG Distribution Inc. ("BFG", "we", "us"). By opening an account or placing an order, the business buying from us ("Customer", "you") agrees to these Terms.

BFG sells wholesale only, to businesses. We do not sell to individual consumers.

2. Wholesale accounts

Online ordering is available to approved business accounts only. To open an account you must submit a completed Wholesale Customer Application and any documents we request, such as a business license, EIN confirmation, or a resale / sales-tax exemption certificate (for North Carolina, Form E-595E).

You confirm that the information you give us is true and that you will tell us when it changes. We may approve, decline, suspend, or close an account at our discretion. You are responsible for all activity under your login.

3. Orders and acceptance

Orders may be placed on our website, by phone, by email, or through your sales representative. All orders depend on stock availability and price confirmation.

An order confirmation only means we received your order. A binding sale is formed when we ship or deliver the order or charge your payment. We may refuse or cancel any order, for example if a product is unavailable, a price was shown in error, or we suspect fraud.

4. Prices and taxes

Prices are in U.S. dollars and can change without notice. Website prices are wholesale prices for approved accounts and are shown before tax. Applicable sales and excise taxes, delivery, shipping and handling charges are added to your order unless we state otherwise in writing.

If you claim a tax exemption, you must keep a valid certificate on file with us. You are responsible for any tax, penalty, or interest that results from an invalid or expired certificate.

5. Payment

Payment is due in full when the order is placed, unless we have agreed to other payment terms with you in writing. We accept cash, checks, wire transfers, debit cards, and credit cards.

If you want us to keep a card on file, you must sign our Card Authorization Form. Returned checks and declined payments may be charged a fee. If a payment is late, we may put your account on hold and stop deliveries until the balance is paid.

6. Delivery and shipping

We deliver with our own trucks within about 200 miles of Raleigh, NC, and ship to all 50 states by parcel carrier or freight. Delivery and shipping charges depend on location, order size, and weight, and are added to your order.

Delivery dates are estimates. We are not responsible for delays caused by carriers, weather, or other events outside our control. Title and risk of loss pass to you when the order is delivered to your address or handed to the carrier, whichever comes first.

7. Inspecting your order, damages and shortages

Please check your order when it arrives. Breakage, damage, missing items, or wrong items must be reported to us within 3 days of delivery, with photos and a short description. Claims made after 3 days cannot be accepted.

For an approved claim we will, at our option, replace the item or issue a credit to your account.

8. Returns and cancellations

All sales are final. We do not accept returns or exchanges except for approved damage, shortage, or defect claims under Section 7. If we agree to take back any other item as an exception, it must be unused and in its original packaging, a 10% restocking fee applies, and you pay the return shipping.

N₂O (nitrous oxide) products are always final sale and cannot be returned or refunded.

You can cancel an order before it ships by contacting your sales representative. Once it ships, it can no longer be canceled.

9. Product warranty

We warrant that products are free from material defects when delivered. Defects must be reported under Section 7. Manufacturer warranties, where offered, are handled under the manufacturer's own terms. This warranty does not cover damage from misuse, modification, or improper handling.

Except as stated in this section, products are sold "as is" and we give no other warranties, express or implied, to the fullest extent the law allows.

10. Lawful use, resale, and age restrictions

You are responsible for making sure that your purchase, resale, and use of our products follow all federal, state, and local laws that apply to you. This includes licensing, labeling, taxes, and minimum-age and ID-check requirements for age-restricted products. Some products cannot be sold in or shipped to certain states or localities, and we may refuse those orders.

N₂O (nitrous oxide) is sold only for lawful food and beverage use, such as making whipped cream. Any other use is prohibited. Resellers must follow all laws that apply to selling N₂O and must not market it for inhalation.

BFG is not responsible for any misuse of products by you or your customers.

11. Limitation of liability

To the fullest extent the law allows, BFG is not liable for any indirect, incidental, special, or consequential damages, including lost profits, arising from the products or these Terms. Our total liability for any claim will not exceed the amount you paid for the products involved in the claim.

12. Indemnity

You agree to defend and hold BFG harmless from claims, fines, and costs caused by your resale or use of the products, your breach of these Terms, or your violation of any law.

13. Trademarks and website content

The BFG Distribution™ name and logo are trademarks of BFG Distribution Inc. Website content, photos, and designs belong to BFG or its licensors. Product brand names and logos belong to their owners. You may not use our trademarks or content without our written permission.

14. Force majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, such as natural disasters, severe weather, strikes, supplier or carrier failures, government actions, or public emergencies.

15. Governing law

These Terms are governed by the laws of the State of North Carolina. Any dispute will be handled in the state or federal courts located in Wake County, North Carolina.

16. Changes to these terms

We may update these Terms from time to time. The version posted on this page, with its "Last updated" date, applies to all orders placed after that date.
